Confirmed in September
On September 2, 2026, NVIDIA signed a definitive agreement to acquire Hugging Face. On September 3, it filed a Form 8-K with the SEC and CEO Jensen Huang announced on the Nvidia blog a price of $12,930,300,000. TechCrunch and The New York Times covered the confirmation the same day.
The 8-K details about $11.9 billion payable to Hugging Face stockholders (subject to adjustments) and an equity retention program of up to about $1.0 billion for employees joining Nvidia — together the roughly $12.9 billion package cited by Huang and the press. Closing is expected in the first half of 2027, subject to regulatory approvals.
What Nvidia promised
Huang wrote that Hugging Face remains an open platform: developers keep choosing models, frameworks, clouds, inference providers and silicon; Nvidia compute will not be required. The 8-K repeats the commitment to keep upload/download of models and datasets and to support other chip vendors.
The August rumor
On August 26–27, 2026, Reuters cited The Information on a $12.9 billion deal. At the time it was reporting only, with no official announcement. September’s confirmation validates the price and storyline, and adds the 8-K, Huang’s post and the closing window.
Why it matters
Hugging Face hosts open-source models and datasets used across the ecosystem. The deal gives Nvidia influence over open-weight distribution beyond chips, with a public pledge to keep the platform open — something regulators and the community will watch through 2027.
